Terms of Service
The general terms governing access to and use of the Coffee Suite service.

These Terms of Service ("Terms") govern the relationship between TMB Group S.r.l. and the user who accesses coffeesuite.it and uses Coffee Suite. This is an English courtesy translation: in case of discrepancy, the Italian version prevails.
1. Definitions
- Provider: TMB Group S.r.l., owner and operator of the service.
- Service or Coffee Suite: the SaaS management software (ERP) and its modules.
- User or Customer: the individual or entity using the Service, typically a VAT-registered operator.
- Merchant: the Customer running an online store connected to the Service.
- Account: the private area from which the Customer accesses the Service.
2. Scope and acceptance
These Terms govern access to and use of the Service. Acceptance occurs by subscribing to a plan, creating an account or otherwise using the Service. The Service is intended for businesses and professionals acting in the course of their activity (business-to-business).
3. Service description
Coffee Suite is a modular operating system for ecommerce that may include, depending on the plan, modules for tasks, inventory, multi-carrier shipping, forecasting and analytics, AI-based customer support and supply-chain management. The Provider may update, improve or change features over time, notifying material changes.
4. Account and registration
To use the Service you must create an account with true, up-to-date information. The Customer is responsible for keeping credentials confidential and for all activity under the account. Unauthorized use must be reported promptly.
5. Plans, prices and billing
The Service is offered on subscription starting from the Base plan, with the option to add modules per the current price list. Unless stated otherwise, prices are in Euro and exclude VAT and any other applicable tax. Billing may be monthly or annual, per the option chosen at subscription. The Provider may update prices with reasonable notice; new terms apply from the next renewal.
6. Term, renewal and cancellation
The subscription lasts for the chosen plan's period and renews automatically for equal periods, unless cancelled before the current period ends. The Customer may deactivate modules or cancel via the account area or by contacting the Provider. As the Service targets professionals, the consumer withdrawal rules under the Italian Consumer Code do not apply; where a consumer subscribes, mandatory legal protections apply.
7. Obligations and permitted use
By using the Service, the Customer agrees to:
- use it in compliance with the law and these Terms;
- not compromise the security, integrity or availability of the Service;
- not attempt unauthorized access, reverse engineering or unintended uses;
- ensure the lawfulness of uploaded data and content and respect third-party rights;
- maintain the necessary notices and consents toward its own end customers.
8. Integrations and third-party services
The Service integrates with third-party platforms and services, including ecommerce platforms and carriers. Use of such services is subject to their own terms. The Provider is not liable for malfunctions, suspensions or changes attributable to third-party services beyond its control.
9. AI-based assistant module
The customer-support module uses artificial intelligence to provide automated replies on-site and after purchase. While designed for quality and relevance, the Provider does not guarantee the accuracy or completeness of every reply. The Customer remains responsible for supervising the module's use and verifying relevant information before acting on it.
10. Intellectual property
The Service, software, trademarks, logos and content made available by the Provider belong to TMB Group S.r.l. or their respective owners and are protected by intellectual property law. The Customer is granted a personal, non-exclusive, non-transferable license, limited to the subscription term and the Service's purposes. Data and content uploaded by the Customer remain the Customer's property.
11. Personal data
Processing of personal data is governed by the Privacy Policy and, for data processed on behalf of the Merchant, by a Data Processing Agreement under Art. 28 GDPR, in which the Provider acts as data processor.
12. Availability and support
The Provider strives to keep the Service available with the utmost diligence, without guaranteeing uninterrupted, error-free operation. Interruptions may occur for scheduled maintenance or technical reasons. Support is provided through the channels indicated on the site.
13. Warranties and limitation of liability
The Service is provided with professional diligence. To the extent permitted by law, the Provider is not liable for indirect damages, lost profits, data loss or business interruption arising from use or inability to use the Service. In any case, where liability is established, it is limited to the amount paid by the Customer for the Service in the twelve months preceding the event. No limitation applies to wilful misconduct, gross negligence or non-excludable liability.
14. Suspension and termination
The Provider may suspend or terminate the Service for breach of these Terms, non-payment or unlawful use, with prior notice where possible. On termination, the Customer may request export of its data within the indicated period and manner; thereafter the Provider may delete it, subject to legal obligations.
15. Force majeure
The Provider is not liable for failures due to force majeure or events beyond its reasonable control, including network failures, natural events, authority measures or third-party service interruptions.
16. Changes to the Terms
The Provider may amend these Terms for legal, technical or organizational reasons. Material changes are communicated with adequate notice, and continued use after they take effect constitutes acceptance.
17. Governing law and jurisdiction
These Terms are governed by Italian law. Any dispute regarding their interpretation and performance falls under the exclusive jurisdiction of the Court of Naples, save for the mandatory jurisdiction provided by law where the Customer is a consumer.
